Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Hanalyx LLC ("Hanalyx," "we," "our," or "us") regarding your use of our website, products, and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

Description of Services

Hanalyx provides cybersecurity, compliance, and technology services including but not limited to:

• Security assessments and compliance auditing
• OpenWatch and SecureOps security platforms
• System configuration and management
• Web development and digital solutions
• DNS management and IT infrastructure services
• WordPress and content management services
• AI implementation and Google Workspace solutions
• Consulting and professional services

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

User Accounts

Some of our services require you to create an account. You are responsible for:

• Providing accurate and complete account information
• Maintaining the security of your account credentials
• All activities that occur under your account
• Promptly notifying us of any unauthorized use of your account

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You may not:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit harmful, offensive, or inappropriate content
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt our services
• Use our services for competitive intelligence or benchmarking
• Reverse engineer, decompile, or disassemble our software
• Use automated tools to access our services without permission

Professional Services

Service Agreements

Professional services are provided under separate service agreements that supplement these Terms. Service agreements may include specific terms regarding scope of work, deliverables, timelines, and pricing.

Client Responsibilities

When engaging our professional services, you agree to:

• Provide necessary access to systems and information as required
• Respond promptly to requests for information or approvals
• Maintain appropriate backups of your data and systems
• Comply with security recommendations and best practices

System Access and Consent

Our services may require access to your systems, data, and infrastructure. By engaging our services and providing consent, you authorize us to access, view, and modify your information and systems as necessary to deliver the requested services. All access will be:

• Limited to what is necessary to complete the work
• Conducted by qualified and trained personnel
• Subject to our confidentiality and security standards
• Documented and logged for audit purposes

Payment Terms

Payment terms are specified in individual service agreements or invoices. Unless otherwise agreed:

• Payment is due within 30 days of invoice date
• Late payments may incur interest charges
• All fees are non-refundable unless specified otherwise
• You are responsible for all taxes related to your use of our services

Intellectual Property

Our Intellectual Property

All content, software, and materials provided by Hanalyx, including but not limited to our website, platforms, documentation, and proprietary tools, are owned by Hanalyx and protected by intellectual property laws. You may not use, copy, or distribute our intellectual property except as expressly permitted.

Your Content

You retain ownership of content you provide to us. By using our services, you grant us a limited license to use your content solely for the purpose of providing services to you.

Work Product

Work product created specifically for you under a service agreement will be owned by you upon full payment, unless otherwise specified. Our general methodologies, frameworks, and pre-existing intellectual property remain our property.

Confidentiality

We understand that you may share confidential information with us in connection with our services. We agree to:

• Maintain the confidentiality of your information
• Use confidential information only for providing services to you
• Implement appropriate security measures to protect your information
• Return or destroy confidential information upon request

Data Protection and Privacy

Our collection and use of your personal information is governed by our Privacy Policy. By using our services, you also agree to our Privacy Policy.

Service Level and Availability

While we strive to provide reliable services, we do not guarantee uninterrupted availability. We may perform maintenance, updates, or modifications that temporarily affect service availability. We will provide reasonable notice of planned maintenance when possible.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANALYX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO HANALYX IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Hanalyx and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of or related to:

• Your use of our services
• Your violation of these Terms
• Your violation of applicable laws or third-party rights
• Your content or data

Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Termination

Either party may terminate these Terms or any service agreement:

• For convenience with appropriate notice
• Immediately for material breach of these Terms
• Immediately if the other party becomes insolvent or files for bankruptcy

Upon termination, your access to our services will cease, and we may delete your data in accordance with our data retention policies.

Dispute Resolution

Governing Law

These Terms are governed by the laws of [State/Jurisdiction], without regard to conflict of law principles.

Arbitration

Any disputes arising out of or related to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that each party retains the right to seek injunctive or equitable relief in court.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

Assignment

You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.
